The Company Secretary
The Company Secretary is an officer of the company with statutory
duties and is normally charged by the directors with responsibility for a range
of duties relating to compliance, the company’s statutory books and records and
promoting a strong corporate governance regime within the company.
Company secretaries are the primary source of
advice on the conduct of business and this can span everything from legal
advice on conflicts of interest, through accounting advice on financial reports,
to the development of strategy and corporate planning.
In discharging his duties, Andrew’s personal and professional
responsibilities include:
- ensuring
the smooth running of the shareholder, board and board committee meetings,
by setting agenda’s, taking minutes, and advising on meeting procedures;
- direct
the business affairs of the company by implementing the decisions of the
board of directors;
- act as
advisor to the directors of the company;
- manage
investor relations, handle company share transactions such as issuing new
shares, arranging for the payment of dividends and observing legal
requirements;
- liaise
with auditors, lawyers, tax advisers, bankers and shareholders;
- prepare
reports, budgets and forecasts;
- negotiate
the terms of new business contracts;
- assess
and arrange insurance cover for the company;
- ensure
all returns required by the Corporations Law are made to the Australian
Securities and Investment Commission (ASIC);
- ensure
all regulatory filings are made to the ASX;
- ensures
the requirements of the Income Tax Act are met;
- ensures
the company meets its compliance obligations under relevant laws and the
requirements of regulatory authorities;
- represent
the company in dealings with other companies, banks and shareholders;
- supervise
financial administration, including the preparation of financial
statements and budgets; and
- advising the board in relation to its policy and practices
with regard to corporate governance
